POLYROPE GLOBAL INC. – SALES TERMS & CONDITIONS

Definitions
– “Seller” refers to PolyRope Global Inc., including its subsidiaries, agents, and representatives.
– “Buyer” refers to any individual or entity purchasing goods from the Seller.
– “Goods” refers to polypropylene ropes, related rope products, and any other items supplied by the Seller.
– “Order” refers to a purchase request placed by the Buyer and confirmed by the Seller.

Quotations & Orders
2.1. All quotations issued by PolyRope Global Inc. are valid for the period stated, or if not stated, for 7 days.
2.2. An order is only accepted upon written confirmation (email or invoice) from the Seller.
2.3. The Seller reserves the right to accept or reject any order at its sole discretion.
2.4. Product availability is subject to stock at the time of order confirmation.
2.5. For custom orders, payment must be made 100% in advance along with the Purchase Order (PO). Lead time for custom orders is a minimum of 4 months, or as communicated at the time of order confirmation.

Prices
3.1. All prices are quoted in USD, unless otherwise stated in writing.
3.2. Prices exclude all local taxes, customs duties, and shipping charges unless specifically included in the quotation.
3.3. Prices may change due to variations in raw material costs, freight charges, or exchange rates. Final price will be confirmed at the time of order.

Minimum Order Quantity (MOQ)
4.1. MOQ is 1 pallet per size, with each pallet containing coils of the same diameter only.
4.2. Mixing coil diameters within a pallet is not permitted, unless otherwise approved in writing by PolyRope Global Inc.
4.3. MOQs may vary for special colours or custom specifications.

Payment Terms
5.1. Standard payment terms are 100% advance payment before dispatch.
5.2. Credit card payments may incur additional processing fees.
5.3. Goods will be dispatched only upon full receipt and clearance of payment.
5.4
For payments made using third-party installment or “buy now, pay later” providers, the following additional charges will apply to each payment:

Affirm: An additional 8% processing charge will be applied to the total payment amount.

Klarna: An additional 6% processing charge will be applied to the total payment amount.
All other accepted payment methods are included in our standard pricing, and no additional charges apply.

Delivery, Shipping & Lead Time
6.1. If stock is available, dispatch typically occurs within 72 hours of receiving cleared payment.
6.2. For out-of-stock or custom orders, lead times will be communicated at the quotation or order confirmation stage.
6.3. Shipping costs are based on the number of pallets and delivery destination; the Seller will provide a quote prior to invoicing.
6.4. Once goods are handed over to the carrier, risk of loss or damage passes to the Buyer.
6.5. Delivery timelines are estimates only. PolyRope Global Inc. is not responsible for delays caused by carriers, customs, weather, or other circumstances beyond its control.

Inspection & Claims
7.1. The Buyer must inspect the goods immediately upon delivery.
7.2. Any claim regarding damage, shortage, or defects must be made in writing within 2 days of delivery.
7.3. If no claim is received within the specified timeframe, the goods will be deemed accepted as delivered.

Returns & Refunds
8.1. Returns are accepted only with prior written authorization from PolyRope Global Inc.
8.2. Returned goods must be unused, undamaged, and in original packaging.

Product Specifications & Warranty
9.1. The Seller warrants that the goods supplied conform to standard industry specifications for polypropylene ropes.
9.2. Slight variations in colour, coil weight, length, or texture may occur due to manufacturing processes and are not considered defects.
9.3. The warranty does not cover:
– Misuse or improper handling
– Storage damage
– Exposure to chemicals or extreme environmental conditions
9.4. The Seller’s liability is limited to replacement of defective goods or issuing a credit note at its discretion.

Limitation of Liability
10.1. PolyRope Global Inc. shall not be liable for any indirect, consequential, or incidental losses, including loss of profit, business interruption, or delays.
10.2. The Seller’s maximum liability is limited to the invoice value of the specific goods in question.

Force Majeure
11.1. The Seller is not liable for delays or failure to perform caused by events beyond its control, including natural disasters, transport disruptions, strikes, government regulations, or supplier delays.
11.2. In such cases, performance may be suspended or extended without penalty.

Governing Law
12.1. These Terms & Conditions are governed by the laws of the State of Texas, USA.
12.2. Any disputes shall be resolved exclusively in the courts of Fort Bend County, Texas.

Amendments
13.1. The Seller may update these Terms & Conditions at any time.
13.2. The applicable version will be the one in effect on the date the Order is confirmed.
